Cole said approximately 15.3 million warrants remained outstanding before their scheduled expiration at 5 p.m. Eastern Time on October 13. He confirmed that Strive had formally incorporated a $100 minimum issuance price for its SATA preferred stock into the company's governing documents.
Strive Bitcoin holdings increase to 32,773 BTC
The latest purchase of 3,311 BTC represents one of Strive's largest weekly acquisitions since the company began expanding its Bitcoin treasury in 2025.
Based on the previous reported holdings of 29,462 BTC, the acquisition increased its Bitcoin balance by approximately 11.2%. Strive did not disclose the total purchase cost or average acquisition price in Cole's October 13 statement, leaving the exact amount spent on the latest transaction unconfirmed.
The addition follows a series of purchases made through the company's Bitcoin-focused treasury strategy. Earlier disclosures show that Strive held 25,000 BTC in September after acquiring 469 Bitcoin for approximately $36.6 million.
The company subsequently increased its holdings through further market purchases supported by its capital-raising programs. Its earlier Bitcoin purchase that lifted holdings to 25,000 BTC was executed at an average acquisition price of approximately $77,954 per coin.
By September 28, another corporate disclosure placed the company's Bitcoin holdings at 27,462 BTC. The position continued growing during early October, reaching 29,462 BTC before the latest reported purchase.
According to Strive's earlier public filings, the company uses capital raised through common shares and preferred stock to finance Bitcoin accumulation. Its treasury strategy seeks to increase the amount of Bitcoin attributable to each common share, although new share issuance can increase the number of shares outstanding.
The latest acquisition follows Strive's January 2026 combination with Semler Scientific, which brought an existing Bitcoin treasury into the company.
The transaction transferred approximately 5,048 BTC from Semler Scientific, increasing Strive's holdings to nearly 12,798 BTC at the time. Subsequent purchases have taken its reported reserves beyond 32,000 Bitcoin.
Strive reports $208 million in warrant exercises
Alongside the Bitcoin purchase, Cole disclosed that investors had exercised approximately $208 million worth of Strive warrants.
The announcement came hours before the remaining warrants were scheduled to expire. According to the CEO, approximately 15.3 million warrants were outstanding, with holders required to exercise them by 5 p.m. Eastern Time on October 13.
Strive's earlier Securities and Exchange Commission filings established an exercise price of $27 per share for the warrants, adjusted for the company's previous reverse stock split. The securities give holders the right to purchase the company's common stock at the specified price before expiration.
An October 5 filing showed approximately 23.25 million shares underlying traditional warrants as of October 2. Their outstanding balance has since declined as investors exercised portions of their holdings.
Warrant exercises can provide Strive with capital in exchange for issuing additional common shares. However, the amount ultimately available for Bitcoin purchases depends on the exercise method, settlement terms and the company's allocation of proceeds.
Strive has not confirmed in the supplied October 13 statement how much of the $208 million was used to finance the latest Bitcoin acquisition.
The approaching deadline will determine how many remaining warrants are exercised and how many expire without being used. Following expiration, the company can disclose its final warrant balance and the related changes to its outstanding common shares.
Strive has formalized a minimum issuance price of $100 for SATA, its Variable Rate Series A Perpetual Preferred Stock.
Cole said the restriction is now binding through the company's governing documents. The change establishes a formal limitation on the issuance price for additional SATA shares.
Previously, Strive had communicated the $100 minimum as part of its preferred stock issuance policy.
In March, the company announced that it would not issue SATA shares through its at-the-market or follow-on offering programs below $100. The October update indicates that the previously stated restriction has been incorporated into the governing terms.
SATA is one of Strive's financing instruments for its Bitcoin treasury operations. The preferred shares provide investors with cash dividend distributions, while proceeds from new issuances can support the company's capital allocation activities.
In September, Strive's board maintained the annual SATA dividend rate at 13% for periods beginning October 1.
The company's September 14 Form 8-K confirmed the rate and established a daily dividend schedule covering October 2026. The filing specified payments of $0.0516 per share for each business day during the month.
Strive previously raised capital through SATA preferred shares, using the instrument alongside its common stock financing arrangements. The preferred stock program remains separate from the company's traditional warrants, which carry their own exercise price and expiration date.
Strive continues building its Bitcoin treasury after Semler deal
The Nasdaq-listed company has expanded its Bitcoin position through direct purchases and corporate acquisitions.
Its January acquisition of Semler Scientific followed shareholder approval of an all-stock transaction. The deal brought Semler's Bitcoin reserves under Strive and expanded the combined company's exposure to the cryptocurrency.
Strive subsequently used preferred stock financing to address inherited debt obligations. In January, the company reported retiring approximately $110 million of Semler-related debt through its SATA financing arrangements.
The Semler Scientific acquisition and debt reduction formed part of Strive's early treasury expansion, which raised its holdings above 13,000 BTC by late January.
In June, Strive disclosed plans to expand its capital-raising programs by $4.2 billion, split between its ASST common stock and SATA preferred shares. The programs were designed to provide additional financing capacity for future Bitcoin purchases.
The company's second-quarter regulatory filing identified ASST as its Nasdaq-listed common stock and SATA as its listed preferred stock. It described Strive as a structured finance company with a Bitcoin-focused treasury strategy.
The September 14 filing maintained SATA's 13% annual dividend rate and set daily cash distributions for October 1 through October 30, excluding non-business days. Its published schedule provides payments through the final business day of the month, subject to the declared dividend terms.
