The Smarter Web Company announced the early repayment of Smarter convertible notes held by entities related to the TOBAM group, with a repayment amount of approximately $11.69 million. The funds were sourced from the disposal of 177.8909127 bitcoins at an average price of $65,762. This batch of bitcoins was fully allocated from the funds raised during the subscription. The original agreement required at least 98% of the funds to be invested in bitcoins, and the company actually invested 100%, thus necessitating the full repayment for the purchased bitcoins. After repayment, the potential issuance of 7,718,551 shares of common stock related to these notes has been eliminated, and the related potential shares and disposed bitcoins have been completely removed from the company's diluted bitcoin treasury analysis. After the disposal, the company holds 2,700 bitcoins.
